Our experience:

Energy and Utilities

  • Providing legal, regulatory and transaction support services to an international consortium in respect of the proposed acquisition of electricity utilities under the on-going privatisation exercise of the Federal Government of Nigeria (“FGN”).
  • Providing legal and regulatory support to a major cement producer in Nigeria in obtaining licence for the generation of a 90 MW power generation plant in Ogun State.
  • Providing legal, advisory and transaction support to an indigenous exploration and production (E&P) company on the financing and development of a marginal field by an international E&P company.
  • Advised the Federal Ministry of Energy (Power) and the Nigerian Electricity Regulatory Commission (“NERC”) on legal, policy and regulatory matters relating to PPAs with prospective IPPs.
  • Advising the Government of Lagos State on certain contractual and regulatory issues relating to an IPP project.
  • Providing legal and regulatory support to the developer of an IPP project in Rivers State of Nigeria.  The IPP project developer is currently licensed for and operating 50MW of power and intends to scale up to 500MW.  In particular, advising on licensing matters, PPA drafting and review, gas contracts, etc.
  • Participated in the Technical Committee for implementation of reforms in the Nigerian electricity supply industry (“NESI”) by the Federal Minister of Power and Steel.  .  Membership of the committee was drawn from NERC, the Bureau of Public Enterprises (“BPE”), Power Holding Company of Nigeria Plc (“PHCN”) and the Federal Ministry of Power and Steel.
  • Advisory and transaction support work relating to a World Bank financed Greenfield Independent Power Project (IPP).
  • Provision of consultancy services for the Corporate Restructuring of PHCN, which involved the extensive review of the Electric Power Sector Reform Act and other relevant laws, regulations and policies governing NESI, preparation of the corporate documentation for the 18 successor companies (“SCs”) that would succeed PHCN, preparation of the draft Transfer Orders for the transfer of assets, liabilities, employees and other undertakings of PHCN to the SCs, and the legal drafting of Market Rules for the Transitional and Medium Term stages of the competitive market for NESI (based on a draft prepared by BPE’s market design consultant).
  • Advised an international oil company in Nigeria on industry-wide securitisation arrangements for IPPs.
  • Negotiation of various PPAs for the sale of electricity by IPPs and other related documentation as well as provision of advisory and transaction support services relating to the establishment of various IPPs across West Africa.
  • Advisory and transaction support services to a multinational company in the performance of a petroleum products depot and pipeline construction project.
  • Pre-acquisition due diligence investigation on a major oil exploration and production company on behalf of a leading international integrated petroleum production and marketing company.
  • Advisory and transaction support work to one of the largest multinational oil service companies in the consolidation of its Nigerian subsidiaries into a fully integrated energy services company.
  • Urban water sector reform advisory work to a state government.
