• Transaction support services to an international consortium on capital raising through private placement, including the drafting of the Private Placement Memorandum.
• Advisory and transaction support services to the successful bidder for the acquisition of a majority interest in NITEL Plc involving the conduct of general legal and regulatory review of the relevant regulatory framework, the design of the transaction structure, and preparation/review of the various transaction documents including the Share Purchase Agreement, Shareholder’s Agreement, Disclosure documents, etc.
• Advisory and transaction support services in many of the merger transactions that took place in the Nigerian banking industry in 2004-5, including due diligence, negotiation, drafting and review of transaction documentation and obtaining the requisite court orders for the transactions.
• Start up business regulatory and advisory services projects for many foreign-owned companies in Nigeria, especially in the telecommunications sector, oil and gas, hospitality and aviation industries.
• On-going advisory services to several multinationals in Nigeria including the world’s leading software and hardware company as well as one of the leading manufacturers of electronic products.
• Advisory work for foreign ship and vessel owners on the Cabotage regime in Nigeria as well as proposing various business structuring options, approaches and measures to ensure compliance with the law.
• Advisory and contract review/negotiation work for owners of hotels in Nigeria in negotiating hotel development and management services agreement with notable international hotel management chains.
• Advisory work on the regulatory environment and other key legal issues relevant to doing business in Nigeria to various multinational companies either operating or intending to do business in Nigeria.
• Corporate re-structuring of many companies in Nigeria, involving but not limited to the merger and or acquisition or consolidation of companies, both for related and affiliated and for non-related companies.
• Due diligence investigations preceding both investment and cross-border acquisition of numerous Nigerian companies, especially in the telecommunications, cement manufacturing, mineral water bottling and packaging industries, one of which involved the listing of the parent company of a major Nigerian company on a foreign stock exchange.
• Liaison with government departments and regulatory agencies to obtain licences, permits and approvals on behalf of various clients in the energy/petroleum, financial services and commercial/manufacturing sectors.
